Annual General Meeting


Football Manitoba’s Annual General Meeting will take place on Saturday, June 14th, at 9:30 AM in the Ambassador Room at Canad Inns Fort Garry, located at 1824 Pembina Hwy, Winnipeg, MB.

Please complete and return the attached delegate (please see form here) and/or observer forms to register for the Annual General Meeting. Football Manitoba MUST receive a delegate registration form for each individual that will be attending and representing an Ordinary Member. The registration form must be signed by two board members of the Ordinary Member to verify that the individual is a bona fide representative. Only registered delegates are guaranteed the opportunity to speak at the AGM. Observers may be recognized by the chair, but are not guaranteed the opportunity to speak. Anyone may register as an observer.

All ordinary members in good standing are eligible to attend the Annual General Meeting and vote on any resolutions proposed. In addition, the Annual General Meeting is an opportunity for changes to the constitution and by-laws to occur.

It is important that each Ordinary Member is represented fully at the Annual General Meeting. The AGM is the forum for discussion of common concerns and the establishment of the future direction of your organization. The Ordinary Members are Football Manitoba. For Football Manitoba to be successful, and move forward in accordance with the desires of the membership, the full participation of each and every Ordinary Member is vital.

The meeting will see the election of a new board of directors as well as discussion on various topics relating to amateur football in Manitoba. The meeting provides the membership with a forum to air concerns, influence and impact the future direction of Football Manitoba, and to deal with any issues the membership as a whole feels worthy of discussion.

 

General Meeting “Rules”

All resolutions must be moved and seconded. The chairperson of the meeting may move or second a resolution. While members of Football Manitoba’s Board are not entitled to cast a vote (as a member of the Board), they are recognized as non-voting delegates and may speak; move or second a resolution. All resolutions shall be decided by a show of hands unless a resolution for a secret poll is passed.

In the case of an equality of votes on any resolution, a second vote shall be taken after a five-minute recess. If an equality of votes still exists the resolution shall not pass.

At all meetings of the Association, Robert’s Rules (Revised) including Rules of Order shall determine conduct.

A simple majority of ordinary members in good standing, in attendance, shall constitute a quorum for any meeting of the general membership. A total of nine (9) Ordinary Members must be present for quorum.

 

Voting

Ordinary members (single organizations), shall be entitled to have up to three (3) delegates with one (1) vote per delegate at each annual, general or special meeting of the Association. The number of delegates the member is entitled to shall be determined by the number of active members represented by the Association based on the following: (A complete eligible voting list is on the next page)

1-100 members                         = 1 Vote

101-200 members                      = 2 Votes

Greater than 200 members         = 3 Votes

Please note: one vote per delegate; therefore an Ordinary Member eligible to cast three votes they must have three delegates present and voting. Also, be reminded that a delegate cannot represent more than one Ordinary Member. Elections

New members to the Football Manitoba Board of Directors are elected at the Annual General Meeting. Football Manitoba’s Board consists of a minimum of six (6) to a maximum of eleven (11) Directors of the Association elected by ballot for a two-year term. Elected Directors shall retire from office at each Annual General Meeting at which their term expires when their successors may be elected. A retiring Director shall be eligible for re-election. If no successor is elected, the person previously elected or appointed continues to hold office.

If a full slate or greater of nominees is established, votes will be tabulated to rank order the nominees. The five (5) nominees that receive the highest ranking shall be elected to two-year terms. Rankings will be based on the number of votes an individual receives, with that individual that receives the greatest number of votes being ranked first; individual receiving the second greatest number of votes being ranked second and so on.

Football Manitoba invites all interested persons to submit their names to stand for election. Please contact the Football Manitoba Office (204-925-5902) if you wish to stand for, or nominate someone for election.

It would be appreciated if all individuals standing for election could submit a brief (one page maximum) biography and outline of why they wish to serve on the Football Manitoba Board of Directors.

All members of the Board are striving to help make amateur football one of the top amateur sports in the Province. Your help is needed if that goal is to be achieved. Please provide it. 

Finally, please share all pertinent information with members of your organization. Your help in disseminating the information is greatly appreciated. Remember, it is through you, and your organization that Football Manitoba is able to reach its members. Without your support, Football Manitoba cannot reach the membership. Please do what you can to assist in making sure the members of the amateur football community are kept aware of the information that comes from your Football Manitoba Office.
